About the Position:

The Corporate Counsel role will have responsibility for advising on a wide variety of material corporate and commercial matters (both domestic and international), including SEC reporting and related public company compliance obligations, shareholder related matters, corporate transactional activities such as strategic initiatives, collaboration agreements and M&A, IT/data security related support, corporate finance and treasury-related support, company disputes/litigation, FCPA/anti-corruption compliance, and other broad corporate legal support areas as needed within Corporate Legal.

Job Description:

The role will report directly to the Company’s Assistant General Counsel, but also will work with and for other Corporate lawyers as needed and appropriate. The successful candidate for this role will have interactions with the Company’s senior leadership, as well as colleagues in other functions throughout the world, including corporate development, IT/data security and privacy, finance, accounting, treasury and operational functions.

The ideal candidate will have experience with SEC reporting and compliance matters for public companies (e.g., Insider Trading and Reg FD compliance, Section 16 reporting obligations, periodic and non-periodic reporting obligations, annual shareholder meeting and proxy statements) and substantial experience in significant transactional matters, including joint development and/or collaboration agreements, significant licensing matters, M&A and related corporate integration activities. Other broad corporate and public company securities law experience (e.g., transfer agent services and related processes for shareholders, including legal processes around sale of restricted/control securities) are preferred.

Education and Experience:

Bachelor's degree and Juris Doctorate

Licensure by a state bar

Previous legal experience that provides the knowledge, skills, and abilities to perform the job (comparable to 5-9 total years of attorney experience)

3 years of attorney experience in U.S. public company corporate and transactional law

Knowledge, Skills and Abilities:

Clinical research, and/or pharma/biotech/life science industry experience preferred

Securities related litigation experience preferred

D&O insurance related matters, including D&O claims coverage experience a plus

Corporate anti-corruption compliance related matters (e.g., FCPA compliance) a plus

Commercial agreements and Employee equity/stock option plans experience a plus

Prior high quality law firm and/or public company in-house legal training and experience

Excellent communication and interpersonal skills

Exceptional organizational skills and strong attention to detail with proven ability to handle multiple tasks efficiently and effectively

Must be flexible and able to reprioritize workload to meet changing project needs

Skillful and proven MS Excel and MS Word skills

Excellent English and grammar skills

Superb analytical and decision based thinking

Strong drafting and negotiation skills that requires little to no oversight

Must be able to work independently and as a team player

Must be able to identify risk, evaluate fact patterns to advise on the application of the law and provide direction to other departments
