Provide high-level cross-functional paralegal support to the Company’s in-house legal team, business partners, and corporate functions, across a range of legal matters, including with respect to general corporate and public company matters, global subsidiary management, strategic transactions, transactional support, intellectual property, employment law, real estate, legal compliance, and various other corporate matters. Essential Duties and Responsibilities

•    Support the Company’s public company filings and activities, including assisting with the preparation and filing of quarterly and annual reports.

•    Assist with management of corporate subsidiaries, including drafting and maintenance of corporate entity organizational and governance documents.

•    Provide support and review of commercial and licensing agreements (including template and non-standard agreements) as needed.

•    Assist with template development, drafting and preparing forms, letters and other legal documents and coordination of approvals, signatures, notarization, and legalization of documents. 

•    Provide corporate transactional support to the legal team and other internal functions, which may include data room management, due diligence requests, managing closing checklists, and coordinating and assisting with document review, drafting resolutions and other closing documents and preparing and tracking signature pages.

•    Support ongoing cross-functional initiatives, including adoption of contract-related technologies.

•    Assist in managing and maintaining legal entity management system and conduct regular audits to ensure compliance and accuracy of corporate records.

•    Respond to subpoenas and other document requests.

•    Support the IP, real estate, legal compliance, and employment law functions on project tasks from time to time.

•    Provide administrative support as necessary.

•    Perform all other related duties as assigned.

  Job Qualifications Education: Bachelor’s degree (B.A. / B.S.) or equivalent or related discipline. Experience: 3-5 years related experience and/or training including previous experience in an in-house legal department of a large corporation and/or corporate law firm. An equivalent combination of education and experience may be accepted as a satisfactory substitute for the specific education and experience listed above. Certification/Licensure: Paralegal certificate is a plus. Other: Expert in utilization of Microsoft Desktop applications (Word, Excel and PowerPoint). Strong negotiation and communication skills.
