Job Summary We are seeking an experienced individual for our Senior Corporate Counsel, Transactions and Commercial position within our Legal Department. This is a remote position, with travel to Wilmington, MA expected on a regular basis.

The Senior Corporate Counsel, Transactions and Commercial position is responsible for providing expert analysis and counsel on complex corporate legal issues (both domestic and international), including general commercial transactions and contracts, strategic corporate transactions and agreements, international and cross-border transactions, litigation management and other specific matters as requested; anticipating and guarding against legal risks facing the company and developing and recommending company policies and positions on legal issues.

Other key responsibilities of the Senior Corporate Counsel, Transactions and Commercial position include: Managing, drafting, and advising on corporate transactions such as acquisitions and divestitures, joint ventures, collaboration, and licensing agreements. Serving as principal counsel to one or more businesses or functions, including coordinating the delivery of legal services to the businesses/functions and collaborating and establishing strong relationships with their respective leadership teams Drafting, negotiating and reviewing commercial and corporate contracts, including license, partnership and collaboration agreements. Providing analysis and counsel on legal and policy issues to include proposed new products and services and commercial transactions, Monitoring and analyzing changes to laws and regulations to ensure continued company compliance. Advising senior management on changes which may affect the business. Managing outside counsel in related litigation matters Developing and recommending operating policy and procedural improvements. Job Requirements

The following are minimum requirements related to the Senior Corporate Counsel, Transactions and Commercial position: Bachelor's degree (B.A. /B.S.) and Juris Doctor or equivalent from an accredited law school in the US or equivalent common law degree.  A current license in the State Bar as an attorney qualified to practice law in Massachusetts or similar license to practice law in another applicable jurisdiction. Minimum 8 years of related experience (preferably in a combination of large law firm and corporate settings) with significant focus on experience in transactional law, including mergers and acquisitions, joint ventures, and minority investments with experience managing all stages of such transactions (e.g., organizing diligence, effectively negotiating transactional documentation, assisting with integration) Ability to inspire trust and confidence through strong interpersonal skills and effective collaboration. Ability to multi-task and effectively manage multiple projects simultaneously. Ability to effectively communicate legal and compliance issues verbally and in writing in a clear and understandable manner to all levels of the organization. An equivalent combination of education and experience may be accepted as a satisfactory substitute for the specific education and experience listed above.
